OVERVIEW

Welcome to Slow Cow! The terms "we", "us" and "our" refer to Boisson Slow Cow inc. ("Slow Cow"). Slow Cow operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). Slow Cow is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

SECTION 1 – ACCESS AND ACCOUNT

You must be at least 18 years old to place an order or purchase a Slow Cow product. To use certain features of the Services, you may be asked to provide information such as your email address and billing, payment and shipping information. You agree to provide information that is accurate, current and complete, and that you have the right to provide it.

If you create an account, you are responsible for keeping your account credentials secure and for activity under your account. You may not transfer, sell, assign or license your account to another person.

SECTION 2 – AGE RESTRICTIONS AND PRODUCT SUITABILITY

Slow Cow Serenity, Slow Cow Focus and Slow Cow Shine are intended for adults aged 18 and over. These products are not recommended for people who are pregnant or breastfeeding.

Slow Cow products are beverages, not medicines. Nothing on this site is intended to diagnose, treat, cure or prevent a medical condition. If you have a medical condition or take medication, speak with a healthcare professional before adding a new product to your routine.

Always read the label on the product you receive. Product formulations and ingredients may change.

SECTION 3 – OUR PRODUCTS

We make reasonable efforts to represent our products accurately in our online store. Colours and appearance may vary depending on your device and its settings. Please read the description and label for the product you purchase.

We may update product descriptions, formulations and availability, and discontinue products, subject to any obligations concerning orders already placed and applicable law. We may set reasonable quantity limits before purchase and will disclose any limit that applies to your order.

SECTION 4 – ORDERS

Please review your order carefully before submitting it. The products, price, taxes, shipping charges and total payable will be presented at checkout. We will send an order confirmation to the email address you provide. Any issue affecting an order after it is placed will be handled in accordance with applicable law, and we will contact you using the information provided with your order.

If you need to cancel an order, contact us as soon as possible. We can cancel it before it ships. Our Return & Refund Policy explains how we handle damaged, incomplete and incorrect orders. That policy does not limit your rights under applicable law.

Purchases from this consumer store are intended for personal or household use, not commercial resale or export. Contact us before placing an order for another purpose.

SECTION 5 – PRICES AND BILLING

All prices are in Canadian dollars. The price of a product is the price displayed when you place your order. Applicable taxes and shipping charges are shown before you submit the order and in your order confirmation. Shipping rates are described in our Shipping Policy: shipping is free on orders over $100 CAD before taxes; for orders of $100 CAD or less, one rate is calculated at checkout based on the delivery address and order weight.

Prices and promotions may change for future orders. Promotions may have separate terms; where those terms conflict with these Terms, the promotion terms apply to the promotion. We will handle any pricing error affecting an order in accordance with applicable law.

You agree to provide accurate and current purchase, payment and account information, and to update it when necessary so that we can complete your transactions and contact you. You represent that you are authorized to use the payment method you provide and agree to pay the amount presented at checkout, including applicable taxes and shipping charges.

SECTION 6 – SHIPPING AND DELIVERY

We currently ship within Canada only. The shipping charge and available delivery information for your order are shown at checkout and described in our Shipping Policy. Delivery times are estimates and may be affected by weather, carrier volume, remote destinations or other circumstances.

If an order is delayed, damaged or missing, please contact us at info@slowcow.com so we can investigate and help resolve the issue. Nothing in these Terms transfers our delivery obligations to the carrier or limits your rights under applicable law.

SECTION 7 – INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Boisson Slow Cow inc., its affiliates or licensors and are protected by Canadian and international copyright, trademark and other intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Slow Cow, Shopify or any third party. Unauthorized use of the Services may be a violation of Canadian intellectual property law. All rights not expressly granted herein are reserved by Slow Cow.

Slow Cow's names, logos, product names, designs, and slogans are trademarks of Boisson Slow Cow inc. or its affiliates or licensors. You must not use such trademarks without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

SECTION 8 – OPTIONAL TOOLS

The Services may offer tools provided by third parties. Those tools may be governed by the third party's own terms and privacy policy. We do not control third-party tools, and you should review their terms before using them. Nothing in this section limits any responsibility we have to you under applicable law.

New features offered through the Services will also be subject to these Terms unless we state otherwise.

SECTION 9 – THIRD-PARTY LINKS

The Services may contain materials and hyperlinks to websites provided or operated by third parties (including any embedded third party functionality). We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you decide to leave the Services to access these materials or third party sites, you do so at your own risk.

To the extent permitted by law, we are not responsible for third-party websites that we do not control or transactions you enter into directly with a third party. This does not limit our obligations concerning purchases made from Slow Cow. Please review carefully the third party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third party.

SECTION 10 – RELATIONSHIP WITH SHOPIFY

Shopify provides the platform that powers our store. Purchases from our store are made with Boisson Slow Cow inc., not Shopify. We remain responsible for our obligations to you as the merchant, including obligations imposed by applicable consumer protection law. Shopify's own services and handling of personal information may be governed by its terms and privacy policy.

SECTION 11 – PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services for you. Information you submit to the Services will be transmitted to and shared with Shopify as well as third parties that may be located in other countries than where you reside, in order to provide services to you. Review our Privacy Policy for more details on how we, Shopify, and our partners use your personal information.

SECTION 12 – FEEDBACK

If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including for commercial use. We may, for example, use our rights under this license to operate, provide, evaluate, enhance, improve and promote the Services and to perform our obligations and exercise our rights under the Terms of Service.

You also represent and warrant that: (i) you own or have all necessary rights to all Feedback; (ii) you have disclosed any compensation or incentives received in connection with your submission of Feedback; and (iii) your Feedback will comply with these Terms. We are and shall be under no obligation (1) to maintain your Feedback in confidence; (2) to pay compensation for your Feedback; or (3) to respond to your Feedback.

We may, but have no obligation to, monitor, edit or remove Feedback that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or that violates any party's intellectual property or these Terms of Service.

You agree that your Feedback will not violate any right of any third party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your Feedback will not contain libelous or otherwise unlawful, abusive or obscene content, or contain any computer virus or other malware that could in any way affect the operation of the Services or any related website. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third parties as to the origin of any Feedback. You are solely responsible for any Feedback you make and its accuracy. We may address unlawful Feedback in accordance with applicable law.

SECTION 13 – ERRORS, INACCURACIES AND OMISSIONS

Information in the Services may occasionally contain typographical errors, inaccuracies or omissions concerning product descriptions, prices, promotions, shipping charges, delivery estimates or availability. We may correct information on the website for future orders. If an error affects an order already placed, we will contact you and handle it in accordance with applicable law. This section does not give us a right to cancel a concluded consumer contract solely because of a pricing or availability error.

SECTION 14 – PROHIBITED USES

You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any international, federal, provincial or municipal regulations, rules, laws, or by-laws; (c) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm any of our employees or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms; (g) to transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation; (h) to impersonate or attempt to impersonate any other person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Slow Cow, Shopify or users of the Services, or expose them to liability.

In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, or pretext the Services; (e) use automated tools to bypass access controls, disrupt the Services or collect information in violation of applicable law; or (f) interfere with, bypass, or circumvent the security or authorization features, robot exclusion headers, or other measures we employ to restrict access to the Services. We may restrict access for a material violation of these Terms or to protect the Services, subject to applicable law and without affecting rights concerning an order already placed.

SECTION 15 – AUTOMATED ACCESS

You may not use automated tools to bypass security controls, evade access restrictions, interfere with the Services, collect other people's personal information, or access the Services in violation of applicable law. We may use reasonable technical measures to protect the Services. This section does not prohibit ordinary customer use of accessibility tools or lawful use of shopping assistance tools.

SECTION 16 – TERMINATION

We may suspend or terminate access to the Services if you materially violate these Terms or if reasonably necessary to protect the Services, subject to applicable law. Termination does not affect rights or obligations concerning an order already placed, including any consumer rights or amounts lawfully due.

The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Website Availability and Legal Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

SECTION 17 – WEBSITE AVAILABILITY AND LEGAL WARRANTIES

Information on the website is provided for general information. We aim to keep it accurate and the Services available, but errors or interruptions may occur. Always read the label on the product you receive.

Nothing in these Terms excludes or limits the legal warranties applicable to products, a consumer's remedies for a defective or misdescribed product, or any other right that cannot be excluded under applicable law. To the extent permitted by law, we do not guarantee that access to the website itself will be uninterrupted or error-free.

SECTION 18 – LIMITATION OF LIABILITY

To the extent permitted by applicable law, Slow Cow is not responsible for losses that are not reasonably connected to a breach of these Terms or a legal obligation. Nothing in these Terms excludes or limits liability for bodily injury, a defective product, fraud, intentional or gross fault, or any other liability or remedy that cannot be excluded or limited by law. Your rights under applicable consumer protection legislation and legal warranties remain in effect.

SECTION 19 – CONSUMER RIGHTS

Nothing in these Terms of Service limits, excludes or modifies any right or remedy you have under the Quebec Consumer Protection Act or any other applicable consumer protection legislation, where those rights cannot be waived by agreement. To the extent any provision of these Terms conflicts with such legislation, that legislation prevails and the remainder of these Terms continues to apply.

SECTION 20 – INDEMNIFICATION

To the extent permitted by applicable law, you agree to compensate Boisson Slow Cow inc. for reasonable losses and third-party claims directly resulting from your unlawful use of the Services or your infringement of a third party's rights. This section does not apply to a claim arising from our own conduct, a product defect, or the exercise of your consumer rights. We will notify you of a claim and give you a reasonable opportunity to participate in its defence. We will not agree to a settlement that imposes an obligation on you without your consent.

SECTION 21 – SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 22 – WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Services constitute the entire agreement and understanding between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

SECTION 23 – ASSIGNMENT

You may not transfer your account or assign your rights and obligations under these Terms without our written consent, except where applicable law gives you that right. We may assign our rights and obligations in connection with a business transfer, subject to applicable law and without reducing your rights concerning an order already placed.

SECTION 24 – GOVERNING LAW

These Terms are governed by the laws of Quebec and the applicable federal laws of Canada, subject to any mandatory consumer protection laws that apply to you. Nothing in this section limits a consumer's right to bring a proceeding in a court or district permitted by applicable law.

SECTION 25 – LANGUAGE

These Terms are available in French and English. For customers in Quebec, the French version is available before the contract is concluded. A customer may expressly choose to conclude the contract in English after receiving the French version, in accordance with applicable law. Simply viewing this English page does not, by itself, constitute that choice.

SECTION 26 – HEADINGS

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 27 – CHANGES TO TERMS OF SERVICE

The current version of these Terms is available on this page. We may update these Terms by posting a revised version with a new effective date and by providing any notice required by law. Updated Terms apply to subsequent use of the Services and future orders, to the extent permitted by law. Changes to an order or contract already concluded will be handled in accordance with applicable law.
